General Terms and Conditions
1. Scope
These General Terms and Conditions (GTC) apply to all contracts between FinReg Swiss, 8032 Zurich, Switzerland (hereinafter “FinReg Swiss”) and its customers for the use of FinReg Swiss e-learning services.
They apply both to companies and other organisations purchasing training licences for their employees (hereinafter “business customers”) and to natural persons purchasing a service for private purposes (hereinafter “consumers”; together “customers”).
Deviating terms of customers only apply if FinReg Swiss has expressly agreed to them in writing. Individual written agreements (e.g. quotes or framework agreements) take precedence over these GTC.
2. Services
Via the learning platform academy.finregswiss.ch, FinReg Swiss offers online training on the prevention of money laundering (AMLA/AML), in particular:
- company licences for business customers, including account setup, monitoring, reminders, certificates, audit trail and audit reports;
- individual certifications for individuals with video modules, competency tests, PDF summaries and a certificate.
The specific scope of services is set out in the relevant service description on the website, the quote or the order confirmation. FinReg Swiss may update and develop the content on an ongoing basis, in particular to reflect regulatory changes, provided that the agreed scope of services is not significantly reduced as a result.
The training conveys professional knowledge. It does not constitute legal advice and does not replace the customer’s own responsibility for complying with its regulatory obligations. FinReg Swiss certificates are proof of training, not state diplomas or licences. FinReg Swiss does not guarantee that a supervisory authority, an SRO or an audit firm will consider the training sufficient in any particular case.
3. Conclusion of contract
The presentation of the services on the website is non-binding. For business customers, the contract is concluded when a quote is accepted or when FinReg Swiss confirms the order. For online purchases on the learning platform, the contract is concluded when the customer completes the ordering process and FinReg Swiss confirms the order by email.
4. Prices and payment
The prices stated on the website, in the quote or in the ordering process at the time of ordering apply. All prices are in Swiss francs (CHF), plus any statutory VAT, unless stated otherwise.
Online payments are processed via the payment service provider Stripe (e.g. credit or debit card). Stripe’s terms also apply. FinReg Swiss does not store complete card details. The amount is charged when the order is completed.
Business customers may also pay by invoice if agreed. Unless otherwise agreed, invoices are payable within 30 days of the invoice date without deduction. In the event of late payment, FinReg Swiss may block access to the platform after a prior reminder and charge default interest of 5% per annum.
5. Access and term
After the contract has been concluded, customers or the employees registered by business customers receive personal login details. For company licences, setup is usually completed within 8 hours of receipt of a complete employee list.
The access period depends on the selected service. Unless otherwise agreed, it is 12 months from activation. Renewals only take place at the customer’s request and are agreed or ordered separately; automatic renewal only applies if expressly agreed.
6. Rights of use and customer obligations
FinReg Swiss grants customers a non-exclusive, non-transferable right to use the content for their own training purposes for the duration of access. Login details are personal and may not be passed on to third parties. The content may not be copied, recorded, redistributed or made publicly available without the written consent of FinReg Swiss.
Business customers are responsible for ensuring that the data of their employees they submit is correct and that they are entitled to transfer this data to FinReg Swiss.
7. Cancellation and refunds
Swiss law does not provide for a general right of withdrawal for contracts concluded online. Cancellation or a refund is therefore only possible where expressly agreed or where required by mandatory law. The service is deemed to have been performed once access to the digital content has been activated.
8. Availability
FinReg Swiss strives to ensure a high level of availability of the learning platform but cannot guarantee uninterrupted availability. Maintenance work, disruptions at third-party providers (e.g. platform or hosting providers) and events beyond the control of FinReg Swiss may lead to temporary interruptions.
9. Liability
FinReg Swiss is only liable for damage caused intentionally or through gross negligence. Liability for slight negligence, for indirect damage, consequential damage and loss of profit, and for damage resulting from regulatory measures against customers is excluded to the extent permitted by law. Liability for personal injury and mandatory statutory liability provisions remain reserved.
10. Intellectual property
All rights to the training content, videos, texts, graphics and the FinReg Swiss brand remain with FinReg Swiss or the respective rights holders.
11. Data protection
FinReg Swiss processes personal data in accordance with the Swiss Federal Act on Data Protection. Details can be found in the privacy policy. Where FinReg Swiss processes employees’ personal data on behalf of business customers as part of company licences, a separate data processing agreement can be concluded on request.
12. Changes to the GTC
FinReg Swiss may amend these GTC at any time. The version valid at the time the contract was concluded applies to existing contracts unless the customer agrees to a new version.
13. Applicable law and place of jurisdiction
These GTC are governed exclusively by Swiss law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict-of-law rules. The exclusive place of jurisdiction is the registered office of FinReg Swiss. For consumers, the mandatory places of jurisdiction under Art. 32 of the Swiss Civil Procedure Code remain reserved.
Should individual provisions of these GTC be invalid, the validity of the remaining provisions shall not be affected. In the event of discrepancies between the German and English versions, the German version shall prevail.
